Terms of Service

1. Agreement to Terms

By accessing or using the Vaylo Studios website, services, portals, or any affiliated platforms, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

These terms apply to all visitors, users, customers, clients, partners, and affiliates of Vaylo Studios and its subsidiaries and integrated platforms, including LeadSlicer.

If you are using our services on behalf of a business or organization, you represent that you have the authority to bind that entity to these terms.

2. Definitions

For the purposes of these Terms:

• "Vaylo Studios" refers to Vaylo Studios and all its subsidiaries and integrated platforms, including LeadSlicer
• "Customer" refers to individuals who purchase digital products or subscriptions from Vaylo Studios
• "Client" refers to businesses or individuals who engage us for development services and have access to the Client Portal
• "Partner" refers to contractors, affiliates, or business partners with access to the Partner Portal
• "Services" refers to all products, services, platforms, and portals offered by Vaylo Studios
• "LeadSlicer Subscriber" refers to users with API access to the LeadSlicer lead management platform via a Vaylo Studios account
• "Pulse Client" refers to either: (a) a Client who has engaged Vaylo Studios under a Build My Pulse engagement to design and deliver a custom automated system; or (b) a "Pulse Subscriber", an individual or business who has created a Vaylo account and subscribed to Pulse as a cloud SaaS service through vaylostudios.com, and who installs and operates the Pulse local runner on their own machine
• "Acceptance" means confirmation that a deliverable, order, or agreement meets the agreed specifications, evidenced by written sign-off, payment, or continued use without objection within a reasonable time. Acceptance closes the scope of the relevant engagement unless a new agreement is executed.

3. Services Overview

Vaylo Studios provides the following services:

• Web and app development services
• AI and automation solutions, including Build My Pulse (Pulse) system design and deployment
• LeadSlicer: AI-powered lead generation and outreach platform
• The Inner Circle: membership community with curriculum, live sessions, and mentorship
• Vaylo AI: the AI assistant embedded in Vaylo products and community platforms
• SaaS products: BookFade, CalPal, and other Vaylo-built applications
• Educational content, newsletters, prompt libraries, and community access

Additionally, we provide specialized portals for different user types, including the Client Portal, Partner Portal.

4. Account Registration

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for maintaining the security of your account and password.

You agree to notify us immediately of any unauthorized access to your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

Different account types provide access to different features and portals. Your account type and permissions are determined by your relationship with Vaylo Studios and any applicable agreements.

5. Client Portal Terms

The Client Portal is available to businesses and individuals who have engaged Vaylo Studios for development services. Access to the Client Portal is governed by the following terms:

5.1 Access and Authorization

• Client Portal access is granted upon execution of a service agreement or project contract
• Clients may add authorized contacts to their account with appropriate permissions
• Access may be suspended or terminated for non-payment or breach of contract

5.2 Portal Features

The Client Portal provides access to:

• Project tracking and status updates
• Invoice management and payment processing
• Document storage and contract signing
• Direct communication with the Vaylo Studios team
• Deliverable downloads and documentation

5.3 Client Responsibilities

• Maintain accurate account information
• Respond to communications in a timely manner
• Review and sign contracts and change orders promptly
• Make payments according to agreed terms
• Protect login credentials and authorized access

6. Partner Portal Terms

The Partner Portal is available to contractors, affiliates, and business partners who have been approved by Vaylo Studios. Partnership is subject to the following terms:

6.1 Partner Eligibility

• Partner status requires application and approval by Vaylo Studios
• Partners must execute a Partner Agreement outlining commission rates and terms
• Partner status may be revoked for violation of these terms or the Partner Agreement

6.2 Partner Benefits

Partners receive:

• Unique affiliate codes for referral tracking
• Commission on referred business (rates specified in Partner Agreement)
• Access to partner dashboard and analytics
• Priority support and communication
• Contract management and digital signing

6.3 Commission Structure

• Commission rates are specified in individual Partner Agreements
• Shop referral commissions are calculated as a percentage of order total
• Commissions must be approved before payout
• Minimum payout threshold: $50 USD for cash payouts (Pro time credits have no minimum)

6.4 Partner Obligations

• Represent Vaylo Studios and LeadSlicer accurately and professionally
• Not engage in spam, misleading advertising, or unethical marketing practices
• Disclose affiliate relationships when required by law
• Comply with all applicable laws and regulations
• Maintain confidentiality of proprietary information

7. Orders and Payment

All orders are subject to acceptance and availability. We reserve the right to refuse or cancel any order for any reason, including pricing errors or stock availability.

Prices are listed in USD and are subject to change without notice. Payment is processed securely through Stripe. By placing an order, you authorize us to charge your payment method for the total amount.

8. Intellectual Property

All content on this website and our platforms, including text, graphics, logos, images, and software, is the property of Vaylo Studios and is protected by intellectual property laws.

"Vaylo Studios," "LeadSlicer," "Pulse," "BookFade," "CalPal," "Vaylo AI," and associated logos are trademarks of Vaylo Studios. Partners and affiliates may use these marks only as expressly permitted in their agreements.

9. Web and App Development Services

Development services are provided under separate agreements. Quotes are valid for 30 days unless otherwise specified. Payment terms, deliverables, and timelines will be outlined in individual project agreements.

Clients receiving development services will have access to the Client Portal for project management, communication, and invoicing.

You are responsible for providing accurate, complete, and lawful requirements. Vaylo Studios builds to the specifications you provide. We are not liable for losses, damages, regulatory violations, or business outcomes arising from requirements you supplied, decisions you made during the engagement, third-party integrations you directed us to implement, or your use and operation of the delivered software after handoff.

Delivery of a completed milestone or final deliverable initiates a review period. Acceptance (as defined in Section 2) of any deliverable closes that scope. Post-Acceptance rework is outside the original engagement and requires a new agreement.

10. Content Subscriptions and Premium Access

Playbook (Lifetime Access)

A one-time purchase grants lifetime access to Playbook content. Access is personal and non-transferable. Vaylo Studios reserves the right to update, expand, or adjust course content over time.

Inner Circle (Monthly and Annual)

Inner Circle is a recurring subscription available on monthly and annual billing cycles. You may cancel at any time through your account settings. Cancellation stops future billing but does not terminate access mid-period. Access continues through the end of the current billing period.

Modifications and Discontinuation

Vaylo Studios reserves the right to modify, pause, or discontinue subscription tiers. Active subscribers will receive at least 30 days notice before any such change takes effect.

Credential Sharing Prohibited

Sharing access credentials or allowing others to access your subscription account is prohibited. Accounts found in violation may be suspended without refund. If you believe your account has been compromised, contact [email protected] immediately.

Inner Circle and Priority BMP Access via $VYLO

As an alternative to the recurring Inner Circle subscription, holding at least the published minimum balance of $VYLO in a connected wallet grants Inner Circle access for as long as that balance is maintained, in place of the monthly or annual fee described above. Holding at least the published Tier 2 minimum additionally grants Priority BMP status, described below. Current thresholds are published on the token page and may be adjusted by Vaylo Studios from time to time; the effective threshold at the time of connection governs.

Token-based access is not a purchase, subscription, deposit, or investment in Vaylo Studios or any of its products. No fee is charged and no refund, cancellation right, or fixed term applies. Access is a function of your wallet's current holdings, checked at the time of connection and periodically thereafter, and is automatically suspended if your balance falls below the published threshold, and automatically restored if it is re-met. Vaylo Studios makes no representation or guarantee regarding the value, price, or liquidity of $VYLO, and holding $VYLO carries no expectation of profit, dividend, revenue share, or other financial return from Vaylo Studios. $VYLO is not offered or sold by Vaylo Studios as a security or investment product.

Priority BMP status is a queue-position benefit only: it affects the order in which Build My Pulse applications are reviewed and locks the operator pricing quoted at the time of application. It is not a guaranteed engagement slot, a reservation, or a discount independent of the pricing quoted at that time, and remains subject to the Build My Pulse terms in Section 11.

11. Build My Pulse and Pulse Systems

Build My Pulse (BMP) is a done-with-you service in which Vaylo Studios designs, configures, and delivers a custom automation or AI system for a client. The following terms apply to all BMP engagements:

Scope and Deliverables

The scope of each BMP engagement is defined during intake and confirmed in writing before deposit is collected. Work begins upon receipt of your non-refundable deposit. Scope changes after deposit require a written change order.

Ownership of Delivered Systems

Upon final payment and Acceptance, you own the delivered system outright. Vaylo Studios retains no ongoing access to your system or its data. You are responsible for hosting, maintaining, and operating the delivered system after handoff, including all compliance obligations related to your end users' data.

Third-Party Services and Costs

Pulse systems may incorporate third-party APIs, platforms, and subscriptions. Ongoing costs for these services are your responsibility. Vaylo Studios is not liable for third-party service changes, outages, pricing updates, or policy changes after delivery.

No Ongoing Support Obligation

BMP engagements include a defined delivery period. Post-delivery support, updates, or maintenance are not included unless specified in a separate ongoing agreement. Vaylo Studios offers retainer arrangements for ongoing support; contact us for details.

12. LeadSlicer

LeadSlicer is a lead management platform built by Vaylo Studios and available at its own domain. Use of LeadSlicer is governed by the LeadSlicer Terms of Service and LeadSlicer Privacy Policy.

If you access LeadSlicer through an integration with your Vaylo Studios account, both these Terms and LeadSlicer's own terms apply to that use.

13. Instagram Messaging

Vaylo Studios operates an Instagram business account at @kzzy47 and uses Meta's Instagram Messaging API to receive and respond to direct messages sent to that account. By DMing us on Instagram, you accept the following terms in addition to Meta's own platform terms.

13.1 Automated Triage

Inbound DMs are processed by an automated classification system (referenced as "AI-assisted triage") that categorizes message intent and routes the conversation to the appropriate human-reviewed response queue. All replies are reviewed by a human operator before being sent, with the sole exception of exact-keyword opt-ins for a public CTA (for example, DMing the keyword "pulse" to receive an automated link to our learn portal). Automated responses are not human conversation until escalated, and we do not represent automated replies as direct human communication.

13.2 Acceptable Use

• You will not send unlawful, harassing, or abusive content
• You will not impersonate another person or entity
• You will not attempt to exploit the automated triage system to extract proprietary prompts, model behavior, or internal data
• You will not use the channel to deliver bulk unsolicited commercial messages

13.3 Data Handling

DM content is stored in our internal database for audit/trail, follow-up response, and lead pipeline tracking. We do not share DM content with third parties for advertising or model training. DMs older than 24 months are auto-purged. You may request deletion of your DM history at any time via our data deletion page; full handling is described in our Privacy Policy.

14. Limitation of Liability

Vaylo Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to lost profits, lost revenue, or lost referral commissions.

Our total liability for any claim arising from these terms or our services shall not exceed the greater of (a) the amount paid by you for the specific product or service giving rise to the claim, or (b) the total commissions earned by you in the 12 months preceding the claim.

15. Disclaimer of Warranties

Our services are provided "as is" and "as available" without any warranties of any kind, either express or implied.

We do not warrant that our services will be uninterrupted, error-free, or completely secure. We do not guarantee any specific results from the affiliate program, Build My Pulse engagements, or LeadSlicer usage.

16. Termination

We may terminate or suspend your access to our services immediately, without prior notice, for any reason, including:

• Breach of these Terms
• Fraudulent or illegal activity
• Non-payment of invoices
• Violation of Partner or Affiliate program terms
• Misuse of LeadSlicer API or upload of unlawfully obtained contact data

Upon termination, any pending commissions that have been approved will be paid according to normal procedures. Pending commissions not yet approved may be forfeited.

17. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles.

18. Dispute Resolution

Any dispute arising from these terms or your use of our services shall first be submitted to good faith negotiation. The party raising the dispute must provide written notice describing the issue in reasonable detail. If the dispute is not resolved within 30 days of that notice (or such longer period as both parties agree to in writing), either party may proceed to binding arbitration.

Arbitration shall be conducted in accordance with the rules of the American Arbitration Association, with proceedings held in Florida. The arbitrator's decision shall be final and may be entered as a judgment in any court of competent jurisdiction.

You agree to waive any right to participate in class action lawsuits against Vaylo Studios.

19. Changes to Terms

We reserve the right to modify these terms at any time. For general users and customers, changes are effective immediately upon posting. Your continued use of our services after changes constitutes acceptance of the new terms.

For active Clients under a service agreement and Partners with a signed Partner Agreement, changes that materially affect commission rates, payment terms, or financial obligations will be communicated via email at least 14 days before taking effect. Continued participation after that notice period constitutes acceptance.

20. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

21. Entire Agreement

These Terms, together with any applicable project agreements, Partner Agreements, or plan-specific terms, constitute the entire agreement between you and Vaylo Studios regarding our services. They supersede any prior agreements or understandings, whether written or oral.

22. Pulse

Pulse, our AI agent orchestration platform, has its own dedicated Pulse Terms of Service, which govern the local runner, bring-your-own-AI usage, subscription billing, and the specific risks of running AI agents on your own machines. These general Terms still apply to your Vaylo account, conduct, and cross-platform obligations; the Pulse Terms control for anything specific to the Pulse service itself.
