Pulse Terms of Service

These Terms of Service ("Terms") govern your access to and use of Pulse (the "Service"), a software product provided by Vaylo Studios ("Vaylo Studios," "we," "us," or "our"). Pulse is operated by Vaylo Studios LLC, a Florida limited liability company. By creating an account, subscribing to, or using Pulse, you agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms are specific to Pulse. Your use of other Vaylo Studios products, the website, and other portals is governed by our general Terms of Service, which also applies to your Vaylo account, billing relationship, and conduct across our services.

1. Description of the Service

Pulse is a distributed agent-orchestration platform. It consists of a cloud hub (the "Hub") hosted in the United States that serves the Pulse web interface, handles authentication and billing, and relays commands over an authenticated tunnel to one or more "runner" processes that you install and operate on your own computers or servers ("your machines").

The runner executes on your machines and can, subject to your configuration and plan, open terminal sessions, read and write files, run programs, and invoke AI models on your machines. Pulse uses a "bring your own AI" model: AI model calls run using your own AI subscriptions, CLIs, or API keys. The Hub does not store your AI provider keys in plaintext and does not call AI providers on your behalf beyond what your own configured credentials and the runner you operate perform.

2. Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract to use Pulse. You access Pulse using a Vaylo Studios account (authenticated via vaylostudios.com accounts). You are responsible for maintaining the confidentiality of your credentials, runner tokens, and API keys, and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized use.

3. Subscriptions, Billing & Payment

  • Pulse is offered on paid subscription tiers billed monthly in advance. Current tiers and pricing are shown at checkout and range from approximately $500 to $1,000 per month, plus any deposit required for higher tiers.
  • Payments are processed by our third-party payment processor, Stripe, Inc. ("Stripe"). By subscribing, you authorize us and Stripe to charge your payment method on a recurring monthly basis until you cancel.
  • Auto-renewal. Subscriptions renew automatically each billing period unless cancelled before the renewal date.
  • Cancellation. You may cancel at any time through the billing portal. Upon cancellation or the end of your paid period, your access to paid features ends and connected runners are disconnected. Cancellation does not entitle you to a refund of amounts already paid.
  • Non-payment. If a payment fails or a subscription becomes past due, unpaid, or cancelled, we may immediately suspend or terminate your access and disconnect your runners.
  • No refunds. Except where required by applicable law or expressly stated in writing by us, all fees and deposits are non-refundable, including for partial billing periods and unused capacity.
  • Taxes. Stated prices exclude taxes. You are responsible for any applicable sales, use, VAT, or similar taxes.
  • Price changes. We may change pricing on a prospective basis with at least 30 days' notice; changes take effect on your next renewal.

4. Acceptable Use & Your Responsibility for the Runner

The runner runs on your machines and executes code, commands, and file operations there under your direction. You acknowledge and agree that:

  • You install and authorize the runner and grant it the local access it needs to operate (terminal execution, file read/write, process control, and AI-tool invocation) on the machines where you run it.
  • You are solely responsible for the machines you connect, for the commands, code, prompts, agents, and automations you run through Pulse, and for their consequences, including any data loss, system changes, resource usage, or costs they cause.
  • You must only connect machines you own or are authorized to control, and only run operations you are authorized to perform.
  • You are responsible for the security, backups, and configuration of your own machines and data.

You agree not to use Pulse to:

  • access, scan, attack, disrupt, or gain unauthorized access to any system, network, data, or account that you do not own or are not authorized to use;
  • violate any applicable law or regulation, or infringe the rights of any third party;
  • transmit malware, conduct denial-of-service attacks, send spam, or engage in fraud or deceptive activity;
  • interfere with, reverse engineer, circumvent plan or security controls of, or place unreasonable load on the Hub or the Service (except to the extent this restriction is prohibited by law);
  • resell, sublicense, or provide the Service to third parties except as expressly permitted.

We may investigate and take action, including suspension or termination, for any suspected violation. You are responsible for the acts of anyone you allow to use your account or runners.

5. Powerful Local Access & Grant

You expressly acknowledge that the runner has powerful privileges on the machines where you install it, and that Pulse and the AI agents you configure may read files, execute commands, run code, and control processes on those machines according to your configuration and plan. You grant the runner and the Service the authority to perform these operations on your machines on your behalf. You are responsible for scoping this access appropriately (for example, by choosing which machines to connect, which folders to expose, and which plan and permissions to enable).

Assumption of risk and waiver. You expressly acknowledge that instructing an AI agent or automation to read, modify, delete, move, or execute files, commands, or code on your machines is inherently risky and can cause irreversible changes, data loss, corruption, unintended disclosure of your data, financial cost (including AI provider and infrastructure charges), or damage to systems and third parties. You assume all such risk. To the maximum extent permitted by law, you waive and release Vaylo Studios from any and all liability for loss, damage, corruption, deletion, disclosure, cost, or harm arising from commands, code, prompts, agents, or automations you (or anyone using your account or runners) initiate, configure, approve, or run through the Service, and from the state, security, or configuration of your machines. Vaylo Studios does not review, approve, or control what you run and is not a party to the operations the runner performs on your machines.

6. AI Output — No Warranty; Human Review Required

Pulse orchestrates AI models and autonomous agents. AI output can be inaccurate, incomplete, biased, outdated, insecure, or harmful, and agents can take unintended actions. All AI output and agent behavior is provided without warranty of any kind. You are solely responsible for reviewing, testing, and validating any AI output, generated code, command, or recommendation before relying on or executing it, and you must exercise particular caution before allowing agents to execute code, modify files, or run terminal commands automatically. AI output is not professional advice. You must not rely on it as a substitute for qualified professional judgment in any financial, legal, medical, safety-critical, or similarly sensitive context. You are responsible for any configuration (such as auto-approval or unattended operation) that reduces human review, and for the consequences of that configuration.

7. Third-Party Services

Pulse integrates with and relies on third-party services, including Stripe (payments), our hosting provider(s) (including Railway for the Hub), and the AI providers you configure (such as Anthropic, OpenAI, Google, and local model runtimes). Your use of those services is governed by their own terms and policies. We are not responsible for third-party services, and your own AI provider credentials and usage remain subject to your agreements with those providers.

8. Intellectual Property

Pulse is proprietary software. Vaylo Studios and its licensors retain all right, title, and interest in and to the Service, including all software, interfaces, and content we provide, except for content you supply. Subject to these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service. You retain ownership of your own data, code, and content. You grant us the limited rights necessary to operate the Service for you (for example, to store account and strand metadata and to relay commands to your runners).

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY AGENT, AUTOMATION, OR AI OUTPUT WILL BE ACCURATE, RELIABLE, OR SAFE. YOU ASSUME ALL RISK ARISING FROM CODE, COMMANDS, AND AUTOMATIONS EXECUTED THROUGH THE SERVICE ON YOUR MACHINES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VAYLO STUDIOS AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100. THE FOREGOING LIMITATIONS APPLY TO ALL CLAIMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND APPLY IN PARTICULAR TO ANY LOSS, DAMAGE, OR DESTRUCTION OF DATA, FILES, OR SYSTEMS ON YOUR MACHINES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

11. Indemnification

You agree to indemnify, defend, and hold harmless Vaylo Studios from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, the commands, code, and automations you run, your machines, your data, or your violation of these Terms or applicable law.

12. Suspension & Termination

You may stop using the Service and cancel at any time. We may suspend or terminate your access, in whole or in part, with or without notice, if you breach these Terms, fail to pay, create risk or legal exposure for us, or misuse the Service. Upon termination, your license to use the Service ends and connected runners are disconnected. Sections that by their nature should survive termination (including payment obligations, disclaimers, limitations of liability, indemnification, and governing law) will survive.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. The exclusive venue for any dispute will be the state or federal courts located in Florida, and you consent to their jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and provide notice by reasonable means (for example, email or an in-product notice). Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
